Penn State Law Review to publish Deal Lawyers' Guide to Public and Private Company Acquisitions

Photo of book coverSome of the best M&A lawyers in the United States gathered recently in New York City to present “The Deal Lawyers’ Guide to Public and Private Company Acquisitions,” a legal education program before a live audience at the 8th Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions. The Institute is sponsored by the Penn State Center for the Study of Mergers & Acquisitions and the New York City Bar. Harnessing their expertise, the Penn State Law Review will publish a guide for deal lawyers based on two mock negotiations — one focusing on private company acquisitions with perspectives on investment banking, tax, and European issues, and another on public company acquisitions with perspectives on Delaware Corporate law, antitrust, proxy solicitations, and public relations. The publication will include articles by presenters and other practitioners. The book's cost is $49.99.

“Every contributor is a key player in the world of M&A, and this book will be a useful resource for practitioners,” explained Penn State Law professor and M&A expert Sam Thompson. Thompson and Rodgin Cohen of Sullivan & Cromwell co-chaired the program on which the book is based.

In addition to an index of sample agreements, the book includes articles on 1) assuming and avoiding liabilities in asset acquisitions 2) Delaware fiduciary duties 3) basic tax issues in acquisition transactions, 4) exchange consolidations and 5) valuation analyses in Delaware courts.
