Professor Ventoruzzo to speak at Italy Corporate Governance Conference in Milan

Penn State Law professor Marco Ventoruzzo is speaking this week on the U.S. proxy access rule at the Italy Corporate Governance Conference at the Italian Stock Exchange in Milan.

UNIVERSITY PARK, Pa. – Professor Marco Ventoruzzo is speaking this week at the Italy Corporate Governance Conference on proxy access in the United States and other systems to facilitate the appointment of directors nominated by minority shareholders around the world, a topic he also covered in his paper, “Empowering Shareholders in Directors' Elections: A Revolution in the Making.”

The conference, organized by Italian business associations Assogestioni and Assonime, will be held Dec. 3-4 at Palazzo Mezzanotte, home of the Italian Stock Exchange in Milan, Italy. The building has an interesting architecture and sits on top of an ancient Roman theater, visible through a glass floor.

The two-day event features corporate executives, government officials, and leading academics discussing the growing role of activist institutional investors from a comparative and international perspective. More than 600 lawyers, institutional investors, proxy advisers, executives, and regulators from around the world will attend.

Speaking immediately following Claudio De Vincenti, Italy’s state secretary to the prime minister, Ventoruzzo will open the panel discussion on the U.S. proxy access rule. Proxy access allows shareholders to place nominees for a company’s corporate board on the company’s annual proxy statement. According to Harvard Law School, in 2015, there were “approximately 100 [proxy access] proposals submitted to shareholders and approximately 58 percent of those proposals [were] approved by shareholders.”

Other speakers at the conference include Amra Balic, head of corporate governance at BlackRock; Gabriela Ramos, chief of staff of the Organisation for Economic Cooperation and Development; Pier Carlo Padoan, Italy’s minister of economy and finance and former executive director of the International Monetary Fund; and Giuseppe Vita, chairman of Unicredit.
