Professor Vincent M. Dadamo brings more than 35 years of corporate practice experience to the classroom. He most recently was senior vice president, general counsel, and corporate secretary to TMG Health, Inc., in King of Prussia, PA, where he was responsible for the legal affairs of a privately held health care business process outsourcing company. He negotiated and drafted outsourcing and software licensing/hosting agreements, advised on employment law matters, and ensured the company's compliance with federal and state laws such as HIPAA and HITECH. At TMG Health, he played the lead legal role in the sale of the company's stock to a health insurance company, realizing a 600% return on investment for the original private equity investors.
From 1999 to 2003 he was senior vice president, general counsel, and corporate secretary to ICT Group in Newtown, PA, a public company with $500 million in annual revenues and 10,000 employees and operations in the U.S., Canada, Australia, Mexico, the Philippines, the U.K, and Ireland. He negotiated agreements, advised management and the Board of Directors on corporate governance and compliance matters, and prepared SEC reports such as 10Ks, 10Qs, and annual shareholder proxy statements.
Prior to that, he served as the General Counsel and corporate secretary for two other international corporations in the computer and automotive services industries.
